TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
This Terms of Service Agreement ("Agreement") is a legally binding contract between Individual Entrepreneur Volianskyi Philipp Andriiovych (referred to as "IziUp", "we", "us", or "our") and you, whether personally or on behalf of an entity ("you" or "User"). This Agreement governs your access to and use of the IziUp website located at iziup.com (the "Site") and the IziUp software-as-a-service platform located at app.iziup.com (the "Platform" or "Service").

By accessing the Site or Platform, you acknowledge that you have read, understood, and agree to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. ELIGIBILITY AND ACCOUNT REGISTRATION
2.1. Eligibility
You must be at least 18 years of age to create an account. By using the Service, you represent and warrant that you have the legal capacity to enter into a binding contract.

2.2. Account Security
To access the Platform, you must create a user account. You agree to provide accurate, current, and complete information. You are solely responsible for protecting your account credentials (password/login) and for all activities that occur under your account. IziUp cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

2.3. Prohibited Registration
You may not register an account if you have been previously suspended or removed from our Service for violation of these Terms.

3. SCOPE OF SERVICE
IziUp provides a cloud-based interactive quiz builder designed for e-commerce platforms (including but not limited to Shopify, WooCommerce, Horoshop, and others). The Service allows Users to create, host, and analyze product recommendation quizzes and lead generation forms.

4. SUBSCRIPTION PLANS, BILLING, AND PAYMENTS
4.1. Subscription Tiers
We offer several tiers of service (Free, Start, Pro, Max). Features, limits (such as quiz views and number of leads), and pricing for each tier are detailed on our pricing page.

4.2. Billing Cycles
Subscriptions are available on a monthly or annual basis. By choosing a plan, you authorize us (through our third-party payment processors) to charge your payment method at the beginning of each billing cycle.

4.3. Automatic Renewal
To ensure uninterrupted service, subscriptions automatically renew for successive periods of the same duration. You may disable auto-renewal at any time through your account settings on app.iziup.com.

4.4. Taxes and Fees
All fees are exclusive of applicable taxes (VAT, sales tax, etc.) unless stated otherwise. You are responsible for all taxes associated with your use of the Service.

4.5. Modification of Fees
We reserve the right to change our pricing at any time. Any price changes will be effective only after providing you with at least 30 days’ notice via email or platform notification.

5. CANCELLATION AND REFUND POLICY
5.1. Cancellation
You may cancel your subscription at any time. Upon cancellation, you will retain access to the paid features until the end of your current paid billing period.

5.2. Refunds
Due to the digital nature of the Service, we generally do not offer refunds for partial subscription periods. Refunds are granted only in exceptional circumstances (e.g., technical failure of the Service) at our sole discretion.

6. INTELLECTUAL PROPERTY RIGHTS
6.1. Our IP
The Platform, including its source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics, as well as the "IziUp" logo, are owned or controlled by Individual Entrepreneur Volianskyi Philipp Andriiovych and are protected by copyright and trademark laws.

6.2. Limited License
We grant you a non-exclusive, non-transferable, revocable license to access and use the Platform strictly for your internal business purposes in accordance with these Terms.

6.3. User Content
You retain full ownership of the content you create (questions, product descriptions, images) within your quizzes. By uploading content, you grant IziUp a worldwide, non-exclusive license to host, store, and display that content solely for the purpose of providing the Service to you.

7. PROHIBITED ACTIVITIES
You agree not to use the Service to:

Violation of Laws: Engage in any activity that violates local, national, or international laws.

Harmful Content: Create quizzes that contain hate speech, harassment, or adult content.

Reverse Engineering: Attempt to copy, modify, or reverse-engineer the Service's source code.

Spam and Phishing: Use the Service to collect sensitive financial data or distribute unsolicited "spam" communications.

Data Scraping: Use automated scripts to collect data from the Site or Platform.

8. SERVICE AVAILABILITY AND LIMITATIONS
8.1. Uptime
We strive for 99.9% uptime but do not guarantee that the Service will be available at all times. Maintenance and updates may cause temporary downtime.

8.2. Third-Party Integrations
IziUp integrates with third-party platforms (Shopify, etc.). We are not responsible for any issues arising from changes made by these third-party platforms that may affect the Service's functionality.

9. PRIVACY AND DATA PROTECTION
Your privacy is important to us. Please refer to our Privacy Policy (available at iziup.com/privacy) for information on how we collect, use, and disclose personal information. By using the Service, you also agree to comply with all applicable data protection laws (such as GDPR or CCPA) regarding the data you collect from your quiz participants.

10. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, IZIUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE MAKE NO GUARANTEES THAT THE SERVICE WILL RESULT IN INCREASED SALES OR CONVERSION FOR YOUR BUSINESS.

11. LIMITATION OF LIABILITY
IN NO EVENT WILL IZIUP, ITS OWNER, OR EMPLOYEES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand made by any third party due to or arising out of your use of the Service or breach of this Agreement.

13. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and defined following the laws of Ukraine. Individual Entrepreneur Volianskyi Philipp Andriiovych and yourself irrevocably consent that the courts of Odesa, Ukraine shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

14. MODIFICATIONS TO THIS AGREEMENT
We reserve the right to amend this Agreement at any time. We will notify you of any changes by updating the "Last Updated" date of these Terms. Your continued use of the Platform after changes are posted constitutes your acceptance of the new Terms.
